Enabling pre-sale of lots

Many people looking to break a piece of land into #SmallerLots want to have a structure that enables pre-sale. Sometimes this is a small area and a few lots, other times it’s larger and involves many lots. The owner would like to have a safe structure that protects everyone’s interests, especially the buyers, while giving them access to some of the money.

There can be hurdles, when the different parties are talking about timing of payments, security and protection.

#TenureSolutions has recently developed a method that meets these needs. A developer has an option over a piece of land and has a DA for 50+ lots. They have agreements with builders to purchase several groupings of these lots, and the builders are willing to pay upfront, which will enable all the civil works to be undertaken. The builders require some security of title; however, registered titles cannot be issued until survey plans are approved by local authorities. Catch 22.

However, #TenureSolutions has a relatively inexpensive, fully enforceable interim structure that enables all of these needs to be met. We create titles, which gives security to the purchasers for their purchase payments while civil works are completed.

On completion of the standard process of #CouncilApproval of survey plans and lodgement of these plans for registration with a government land registry title to each lot will be in the names of the initial purchasers.

Separate titles within a building

#TenureSolutions has recently completed provision of #Title for four units within a single existing structure on a piece of land zoned Rural in a lovely spot overlooking the Gold Coast. Each unit is approved for letting, and there’s a variety of sizes – 217 m², 92 m², 117 m² and 129 m².

There’s good access and a sizeable recreation area in the common area on the property.

The property includes two stand-alone structures; both of which also have #SeparateTitle. There’s a waste treatment system which services all the units, and the Management Scheme (the legal arrangement between the title holders) provides for its management, maintenance and eventual upgrade.

The owner now plans to sell some units and recoup capital, while continuing to own their residence and other units. There also are additional lots where future sale or development may be possible.

Q: My solicitor has never heard about Company Title.

Q: My solicitor advises against Company Title saying it’s over-ridden by the Titles Office.

A: There are two major forms of title to land which ensure that a person purchasing land is able to acquire a secure title to that land, in a process that facilitates timely and effective land dealings for the community – Company Title and Torrens System Title.

In Queensland, Company Title predates Torrens Title as its origins are set in the Registration of Deeds Act which preceded Torrens Title. Both forms of title to land continue in application today; both rely on preparation of instruments and documentation.

Company Title was widely known amongst and used by solicitors and property developers until the 1960s when State Governments brought in strata title, a form of Torrens Title. Strata or Community Title became widely taken up, as its legislation sets out a convenient form of ongoing management – CMS or constitution. Rather than have a solicitor start from scratch to draw up a constitution, the CMS could some costs. As a wider range of land professionals was familiar with the notion of subdivision (Strata Title is a form of subdivision) they inclined to applying Strata Title where previously they might have applied Company Title.

This preference for Torrens Title means that many land professionals today haven’t heard about Company Title or are poorly-informed about it.

During its widespread application, nobody had done what Tenure Solutions has done – prepare an up-to-date comprehensive constitution relevant to the 21st Century, that can readily be customized for each individual. With the work that Tenure Solutions has done, the cost of applying Company Title is now likely to be less than Torrens Title. As it operates under Commonwealth legislation, Company Title can be applied in some situations which are prevented by Torrens Title, which operates under the legislation of the several State Governments.

The need for separate title of apartments, office suites and professional suites in commercial buildings, even berths on a jetty, has existed for a very long time and for most of that time, has been met through Company Title. However, when the notion of subdivision was extended to such ‘shared’ structures, Strata/Community Title seemed easy for property professionals and became the go-to method of titling.

As Strata/Community Title becomes more rigid, more expensive and slower to achieve, the benefits of Company Title are increasingly being recognized.
